The Board of Directors of Toyo Engineering Corporation (hereafter “TOYO”), at the meeting held on May 14, 2020, resolved to postpone the 65th Annual General Meeting of Shareholders after July, to establish the record date for voting rights for the 65th Annual General Meeting of Shareholders.
1. The Reason to Postpone the General Meeting of Shareholders
As announced in “Notice regarding announcement of financial results for the fiscal year ended March 2020” on April 13, 2020, Indian subsidiary of TOYO cannot determine the schedule for completing year-end accounting closing work due to the spread of COVID-19 infection in India.
2. Change to the Record Date for Voting Rights for the 65th Annual General Meeting of Shareholders
For the reasons above, TOYO set May 31, 2020 as the record date. Shareholders listed or recorded in the final registry on that date will be entitled to exercise their voting rights at the 65th annual general meeting of shareholders.

TOYO will announce the specific schedule etc. of the 65th Annual General Meeting of Shareholders. The record date for year-end dividend will not be set since year-end dividends will not be pay as announced at beginning of the fiscal year ended March 2020,
