Regarding the date of announcement for financial results for the fiscal year ending March 2020 and the date of the 65th Annual General Meeting of Shareholders, Toyo Engineering Corporation (hereafter “TOYO”) will inform you as follows.
1.The date of announcement for financial results
As informed on the notice dated 13 April 2020, as a result of the lockdown measures that had been implemented nationwide in India due to the spread of the new coronavirus infection in India, year-end accounting closing work for the Company’s Indian Subsidiary, Toyo Engineering India Private Limited located in Mumbai, Maharashtra state has been delayed and it has become difficult to determine the schedule for completing year-end accounting closing work on consolidated basis.
Based on the latest status of year-end closing process, TOYO will announce financial results for the fiscal year ending March 2020 on 18 June 2020.
2.The date of the 65th Annual General Meeting of Shareholders
The 65th Annual General Meeting of Shareholders, which is postponed after July as informed on the notice dated 14 May 2020, will be held on 1st August 2020.
As informed the notice dated 14 May 2020, TOYO set May 31, 2020 as the record date. Shareholders listed or recorded in the final registry on that date will be entitled to exercise their voting rights at the 65th Annual General Meeting of Shareholders.
TOYO will announce the proposals etc. of the 65th Annual General Meeting of Shareholders by the Notice of Convocation.
